These Terms & Conditions (AGB) govern your use of the ReplyIQ platform and services. By subscribing or using ReplyIQ, you agree to these terms. Please read them carefully.
1. Parties and scope
"ReplyIQ", "we", "us" refers to ReplyIQ ([legal entity, address, UID to be confirmed]). "Customer", "you" refers to the business entity or individual subscribing to the ReplyIQ service. These terms apply to all subscriptions, trials, and use of the ReplyIQ platform and website.
2. Services
ReplyIQ provides an AI-assisted review management platform that:
- Monitors reviews on connected third-party platforms (Google, Booking.com, TripAdvisor, Instagram, Facebook, LinkedIn)
- Generates AI-drafted reply suggestions for customer approval
- Tracks competitor review performance within a defined geographic radius
- Delivers weekly reputation intelligence reports
ReplyIQ acts as a tool to assist you. All replies are submitted for your review and approval before publication. We do not publish replies without your explicit authorisation.
3. Subscription and payment
3.1 Plans
ReplyIQ is offered on monthly (CHF 149/month, Early Access) and annual (CHF 1,490/year, Early Access) subscription plans. Founding customer rates are locked for the lifetime of a continuous subscription. Multi-property pricing is available on request.
3.2 Getting started
No free trial is offered. Subscriptions begin immediately upon sign-up. Your subscription will not activate automatically, you must actively choose to subscribe.
3.3 Billing
Monthly subscriptions are billed in advance on the same day each month. Annual subscriptions are billed in advance for the full year. Payment is processed by our payment provider (Stripe). Invoices are issued electronically.
3.4 Late payment
If payment fails, we will notify you and retry after 3 and 7 days. After 14 days of non-payment, access to the platform may be suspended. Overdue amounts accrue interest at 5% per annum in accordance with Swiss OR Art. 104.
3.5 Price changes
We may change prices for new customers at any time. Existing customers will receive 60 days' written notice before any price change takes effect on their subscription. Founding customer rates are exempt from price increases for as long as the subscription remains active and continuous.
4. Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Monthly subscribers: you retain access until the end of the paid month. Annual subscribers: you retain access until the end of the paid year. No pro-rata refunds are issued for partial periods, except where required by Swiss law or at our sole discretion.

5. Reply guarantee
We guarantee that every review received during an active subscription period will receive a personalised AI-drafted reply within 48 hours for your approval. If we fail to deliver a draft for any review within 48 hours of it appearing on a monitored platform (excluding force majeure events or platform API outages beyond our control), we will credit one month's subscription fee to your account or refund that month, at your election.
6. Customer obligations
You agree to:
- Provide accurate account and property information
- Maintain the security of your login credentials
- Review all AI-drafted replies before approving them for publication
- Ensure that your use of ReplyIQ complies with the terms of service of connected third-party platforms
- Not use ReplyIQ to publish false, misleading, defamatory, or unlawful content
- Not attempt to reverse-engineer, scrape, or misuse the platform
7. Intellectual property
ReplyIQ and all associated software, designs, and content are the intellectual property of ReplyIQ. You receive a limited, non-exclusive, non-transferable licence to use the platform for your business purposes during your subscription. Reply drafts generated for your property are yours to use, edit, and publish as you see fit.
8. Limitation of liability
To the maximum extent permitted by Swiss law, ReplyIQ's total liability for any claim arising from these terms or use of the platform is limited to the fees paid by you in the three months preceding the event giving rise to the claim.
ReplyIQ is not liable for: indirect, consequential, or incidental damages; loss of revenue or profits; damage caused by your use of AI-generated replies that you have approved; actions or decisions of third-party platforms; or service interruptions beyond our reasonable control.
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or wilful misconduct.
9. Data and confidentiality
Each party agrees to keep confidential any non-public information of the other party obtained through the business relationship. Data processing is governed by our Data Processing Agreement (DPA), which forms part of these terms.
10. Third-party platforms
ReplyIQ integrates with third-party platforms (Google, Booking.com, etc.) via their published APIs and interfaces. We are not responsible for changes to third-party platforms, API availability, or changes to their terms of service that may affect ReplyIQ functionality. We will make reasonable efforts to adapt to such changes promptly.
11. Governing law and jurisdiction
These terms are governed exclusively by Swiss law, excluding its conflict of law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Zurich, Switzerland, unless a mandatory statutory provision requires otherwise.
12. Amendments
We may amend these terms from time to time. Material changes will be communicated by email at least 30 days before taking effect. Your continued use after that date constitutes acceptance. If you do not accept the changes, you may cancel your subscription before the effective date.
